Terms of Service

These Terms of Service ("Terms") govern your access to and use of Westerly, a client-acquisition and content platform operated by AI West LLC ("Westerly," "we," "our," or "us"), including the website at westerly.app and the product at app.westerly.app(together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you're using the Service on behalf of a business, you're confirming you have authority to bind that business to these Terms.

1. The Service

Westerly researches your prospects, drafts outreach in your voice for your review, generates a weekly content plan and drafts (LinkedIn posts, newsletters, and, for accounts with the video pipeline enabled, YouTube videos), and publishes to the destinations you've connected (LinkedIn, YouTube, and email), but only for content you review and schedule. Some features described in our marketing materials may not be available on every plan or to every account.

You are in control of what goes out. Outreach drafts and content drafts are generated by AI and are not sent or published until you review and approve them, except for anything you explicitly schedule to auto-publish. Once you confirm a YouTube video for publishing, it is uploaded to your channel as public immediately. Westerly will make this clear to you at the moment you confirm, but you are responsible for reviewing content before you approve it.

2. Accounts & Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You're responsible for keeping your login credentials confidential and for all activity under your account. Tell us right away at hello@westerly.app if you suspect unauthorized use of your account.

3. Connected Third-Party Accounts

The Service works by connecting to third-party platforms on your behalf: currently LinkedIn (via Unipile), Google/YouTube, and Resend for email delivery. By connecting an account, you authorize Westerly to access and act on that account only as described in our Privacy Policy. You remain solely responsible for complying with each connected platform's own terms of service (including LinkedIn's and YouTube's), and for the content and outreach you choose to send through them. Westerly is not responsible for the availability, features, or policies of any third-party platform, and your access to a connected platform through Westerly may change if that platform changes its own API or policies.

4. Subscriptions, Billing & Trials

Paid plans, pricing, and any trial terms are described on our Pricing page and at checkout at the time you subscribe. Billing is processed by Stripe. Subscriptions renew automatically for successive billing periods until cancelled. You can cancel at any time from your account settings; unless stated otherwise at checkout, cancellation stops future billing but does not refund the current billing period. We may change our pricing going forward; we'll give you notice before a price change applies to your account.

5. Your Content

You retain ownership of the recordings, brand assets, and other content you upload or create through the Service ("Your Content"). You grant Westerly a license to host, process, transform, and, only upon your review and approval or explicit scheduling, transmit and publish Your Content to the destinations you direct, solely to provide the Service to you. You're responsible for making sure you have the rights to any content you upload and that it doesn't violate anyone else's rights or the law.

6. Acceptable Use

You agree not to use the Service to:

  • Send spam, unsolicited bulk messages, or outreach that violates applicable anti-spam or marketing laws in your jurisdiction;
  • Harass, defraud, impersonate, or misrepresent yourself to any recipient;
  • Violate LinkedIn's, Google's/YouTube's, or any other connected platform's terms of service;
  • Upload unlawful, infringing, or harmful content;
  • Attempt to reverse-engineer, scrape, or interfere with the Service's operation or security.

We may suspend or terminate accounts that violate this section.

7. AI-Generated Content Disclaimer

Outreach messages, content drafts, and coaching recommendations are generated with the help of AI models and may contain errors or inaccuracies. You are responsible for reviewing anything the Service drafts before you approve it for sending or publishing. Westerly does not guarantee any particular business outcome (leads, replies, revenue, views, or otherwise) from using the Service.

8. Termination & Account Deletion

You may delete your account at any time from Settings. Doing so immediately cancels your subscription and permanently deletes your account data. This cannot be undone, and there is no recovery period. We may suspend or terminate your access for violating these Terms, non-payment, or if required by law, and will make reasonable efforts to notify you first except where we believe immediate action is necessary.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY CONTENT IT GENERATES WILL BE ACCURATE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WESTERLY AND AI WEST LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

11. Indemnification

You agree to indemnify and hold Westerly and AI West LLC harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your violation of these Terms or any law.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws principles. Before filing a claim, you agree to first contact us at hello@westerly.app so we can try to resolve the dispute informally.

13. Changes to These Terms

We may update these Terms from time to time. We'll update the "Last updated" date above and, for material changes, notify you by email or in-product notice. Continuing to use the Service after a change takes effect means you accept the updated Terms.
